These Terms of Service ("Terms") govern your access to and use of the website eurotechelectronics.com and any related services (the "Service") operated by EUROTECH ÉLECTRONIQUES INC. ("we", "us", "our"). By accessing the Service or placing an order, you agree to be bound by these Terms.

By using the Service, creating an account, or placing an order, you confirm that:

3. Products and pricing

• All products are described as accurately as possible. Minor variations in color, finish, or appearance may occur and do not constitute defects.
• Prices are displayed in the currency selected on the Service and may be subject to applicable taxes, duties, and shipping fees.
• We reserve the right to correct pricing errors and to cancel any order placed at an incorrect price. In such cases, you will be notified and offered a refund or correction.
• Stock availability is not guaranteed until an order is confirmed.

4. Orders and order acceptance

An order placed on the Service constitutes an offer to purchase. The contract of sale is formed only when we send you an order confirmation email. We reserve the right to refuse or cancel any order at our discretion, including in cases of suspected fraud, payment failure, or stock issues.

5. Payment

• Accepted payment methods are displayed at checkout (credit card, PayPal, Shopify Payments).
• Payment is processed at the time the order is placed.
• Payment data is handled directly by our payment processors (Shopify Payments, Stripe, PayPal) and is never stored on our servers.

6. Shipping and delivery

Shipping terms, costs, and timelines are described in our Shipping Policy (incorporated by reference). Estimated delivery times are not guaranteed and may be affected by carriers, customs, or unforeseen events.

7. Returns, refunds, and warranty

Returns, refunds, and the 1-year limited warranty are governed by our Refund and Return Policy (incorporated by reference). EU and Quebec consumer protection rights are preserved as set out in that policy.

8. Intellectual property

All content on the Service (text, images, logos, product designs, schematics, software) is the property of EuroTech Electronics or its licensors and is protected by Canadian, US, and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent, except for personal, non-commercial use.

9. User content

If you submit reviews, photos, or other content to the Service, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with the Service and our marketing activities. You are responsible for ensuring the content does not infringe third-party rights.

10. Prohibited uses

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with PIPEDA, Quebec's Loi 25, and the GDPR.

13. Indemnification

You agree to indemnify and hold harmless EuroTech Electronics, its directors, employees, and contractors from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service or our products.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, in cases of breach of these Terms, suspected fraud, or for any other legitimate business reason. Termination does not affect rights or obligations accrued before termination.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising from these Terms shall be brought before the competent courts of the judicial district of Montreal, Quebec.

If you are a consumer residing in the European Economic Area, the United Kingdom, or Switzerland, you may also bring proceedings in the courts of your country of residence, in accordance with applicable consumer protection rules.

16. Dispute resolution

Before initiating legal proceedings, we encourage you to contact us at info@eurotechelectronics.com so that we may attempt to resolve the dispute amicably. EU consumers may also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

17. EU consumer rights — mandatory provisions

If you are a consumer residing in the EU/EEA, UK, or Switzerland, mandatory consumer protection rights granted to you by your country's law cannot be limited or waived by these Terms, including:

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire agreement

These Terms, together with the Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between you and EuroTech Electronics regarding the Service and supersede any prior agreement.
